IMPORTANT – PLEASE READ CAREFULLY. These Terms of Service constitute a legally binding agreement between you and YourFloors.ca. By accessing or using this website, placing an order, or creating an account, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must immediately cease use of this website.
1. PARTIES AND SCOPE
These Terms of Service ("Terms") govern your access to and use of the website located at www.yourfloors.ca (the "Site") and the purchase of products through the Site (the "Services"), operated by YourFloors.ca ("we," "us," or "our"), a business incorporated and operating under the laws of Canada.
These Terms apply to all visitors, registered users, and purchasers — whether individual consumers ("Consumers") or business entities including contractors, retailers, and commercial buyers ("Business Customers") — collectively referred to as "you" or "User." Certain provisions apply exclusively to one category and will be clearly identified.
By using the Site, you represent that (a) you are at least 18 years of age or the age of majority in your province or territory of residence, whichever is greater; (b) you have the legal authority to enter into binding contracts; and (c) all information you provide to us is accurate, current, and complete.
2. AMENDMENTS TO THESE TERMS
We reserve the right to modify these Terms at any time. When changes are made, we will update the "Effective Date" at the top of this page and, for material changes, provide notice via email or a prominent Site notification. Your continued use of the Site after the revised Terms are posted constitutes your acceptance of those changes.
For Business Customers operating under a separate written agreement with YourFloors.ca, these Terms apply to the extent they are not expressly superseded by that written agreement. In all other respects, these Terms govern.
3. ACCOUNT REGISTRATION AND SECURITY
3.1 Registration
To place orders on the Site, you may be required to create an account. You agree to provide accurate, complete, and current information during registration and to update that information as necessary. YourFloors.ca reserves the right to refuse registration or terminate accounts at its sole discretion.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You must notify us immediately at hello@yourfloors.ca if you suspect any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
3.3 Business Accounts
Business Customers registering for a trade or business account represent and warrant that they are authorized to act on behalf of the business entity and that the entity has the legal capacity to enter into these Terms. Business account holders may be required to provide additional verification documents, including business registration or HST/GST numbers, before account activation.
4. PRODUCTS, PRICING, AND AVAILABILITY
4.1 Product Information
We make reasonable efforts to ensure product descriptions, specifications, dimensions, and images on the Site are accurate. However, we do not warrant that product descriptions or other content are error-free, complete, or current. Colors and finishes may vary due to photography, screen calibration, and manufacturing tolerances. It is your responsibility to review product specifications carefully before ordering.
4.2 Pricing
All prices displayed on the Site are in Canadian Dollars (CAD) and are subject to applicable federal Goods and Services Tax (GST) and provincial/territorial taxes. Tax amounts will be calculated and displayed at checkout based on your shipping address.
We reserve the right to modify prices at any time without prior notice. However, price changes will not affect orders that have already been confirmed and for which a confirmation email has been sent, except in cases of obvious typographical or pricing errors, which we reserve the right to cancel and refund regardless of order status.
4.3 Errors and Corrections
In the event of a pricing error or incorrect product information, YourFloors.ca reserves the right to cancel any order placed at the erroneous price, whether or not the order has been confirmed or payment processed. We will notify you promptly and issue a full refund where applicable.
4.4 Availability
Product availability is not guaranteed. We reserve the right to limit quantities, discontinue products, or restrict sales to any person, geographic region, or jurisdiction at our discretion. In the event a product you have ordered is out of stock, we will contact you to offer an estimated ship date, a substitute product, or a full refund.
5. ORDERS AND CONTRACT FORMATION
5.1 Order Placement
When you submit an order through the Site, you are making an offer to purchase the selected products under these Terms. An order confirmation email acknowledging receipt of your order does not constitute acceptance of your offer. A binding contract is formed only when we send a separate shipping confirmation email or dispatch the goods.
5.2 Order Cancellation by You
You may request cancellation of an order before it has been shipped by contacting us at hello@yourfloors.ca. We will make commercially reasonable efforts to accommodate cancellation requests but cannot guarantee cancellation once an order has entered processing or fulfillment. Orders that have already shipped cannot be cancelled and must instead follow our Return and Refund Policy (Section 8).
5.3 Order Cancellation by Us
We reserve the right to cancel or refuse any order at our discretion, including but not limited to situations involving suspected fraud, inability to verify payment, product unavailability, pricing errors, or restriction on shipping to your location. If we cancel your order, you will receive a full refund within a reasonable timeframe.
6. PAYMENT
6.1 Accepted Methods
We accept payment by major credit cards (Visa, Mastercard, American Express), and such other payment methods as may be indicated on the Site at the time of checkout. All payment information is transmitted via encrypted, industry-standard payment processing systems. YourFloors.ca does not store full credit card numbers.
6.2 Authorization
By submitting your payment information, you represent that you are the authorized holder of the payment method and that you authorize us to charge the full amount of your order, including applicable taxes and shipping fees. In cases of suspected fraud or chargeback abuse, we reserve the right to suspend your account and pursue recovery through applicable legal channels.
6.3 B2B Credit Terms
Business Customers approved for credit accounts must adhere to payment terms as set out in their separate account agreement or invoice. Overdue accounts are subject to interest charges at the rate permitted under applicable Canadian law, in addition to reasonable collection costs. YourFloors.ca reserves the right to revoke credit terms and require prepayment at any time.
7. SHIPPING AND DELIVERY
Shipping, delivery timelines, freight terms, risk of loss, and related conditions are governed exclusively by our Shipping Policy, which is incorporated into these Terms by reference and available at www.yourfloors.ca/shipping-policy. By placing an order, you agree to the terms of the Shipping Policy as it exists at the time of your order. We reserve the right to update the Shipping Policy at any time; the version in effect at the time of your order applies to that order.
8. RETURNS AND REFUNDS
All returns, exchanges, refunds, and claims for defective or damaged products are governed exclusively by our Refund Policy, which is incorporated into these Terms by reference and available at www.yourfloors.ca/refund-policy. By placing an order, you agree to the terms of the Refund Policy as it exists at the time of your order. Nothing in the Refund Policy limits your rights as a Consumer under applicable provincial consumer protection legislation, including the Consumer Protection Act (Ontario), the Business Practices and Consumer Protection Act (British Columbia), or equivalent legislation in your province. Where such legislation provides rights broader than those stated in the Refund Policy, the legislation prevails to the extent of any inconsistency.
9. WARRANTIES AND DISCLAIMERS
9.1 Product Warranties
Products sold on the Site may be covered by manufacturer warranties. The terms and coverage of any manufacturer warranty are set by the manufacturer and are separate from YourFloors.ca's obligations. YourFloors.ca passes through any applicable manufacturer warranties but does not independently warrant products beyond what is expressly stated in writing.
9.2 Disclaimer of Implied Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, YOURFLOORS.CA DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS DISCLAIMER DOES NOT APPLY TO THE EXTENT THAT PROVINCIAL CONSUMER PROTECTION LEGISLATION PROVIDES MANDATORY WARRANTIES THAT CANNOT BE DISCLAIMED.
9.3 Site Availability
We do not warrant that the Site will be available at all times, error-free, or free of viruses or other harmful components. We may suspend, restrict, or terminate access to the Site at any time without notice for maintenance, updates, or other operational reasons.
10. LIMITATION OF LIABILITY
10.1 General Limitation
TO THE FULLEST EXTENT PERMITTED BY LAW, YOURFLOORS.CA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
10.2 Exclusion of Consequential Damages
IN NO EVENT SHALL YOURFLOORS.CA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR DAMAGE TO PROPERTY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 Consumer Exception
Nothing in this Section 10 shall limit YourFloors.ca's liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable consumer protection or product liability law.
11. INTELLECTUAL PROPERTY
All content on the Site, including text, images, graphics, logos, product photographs, data, and software (collectively, "Content"), is the property of YourFloors.ca or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal or internal business purposes in connection with purchasing products. You may not reproduce, redistribute, republish, scrape, mirror, or commercially exploit any Content without our express prior written consent.
Any user-generated content you submit to us (reviews, photos, feedback) grants YourFloors.ca a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute such content in connection with our business and marketing.
12. PRIVACY AND PERSONAL INFORMATION
The collection, use, and disclosure of your personal information is governed by our Privacy Policy, available on the Site, and by the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. By using the Site, you consent to the collection and use of your personal information as described in the Privacy Policy.
We use cookies and similar technologies to operate and improve the Site. By using the Site, you consent to our use of cookies in accordance with our Cookie Policy. You may withdraw consent for non-essential cookies through your browser settings.
13. ELECTRONIC COMMUNICATIONS AND CASL COMPLIANCE
Any commercial electronic messages (CEMs) sent by YourFloors.ca are governed by Canada's Anti-Spam Legislation (CASL). We will only send you commercial emails with your express or implied consent, as defined under CASL. Each CEM will identify YourFloors.ca as the sender and provide a clear, functional unsubscribe mechanism that is honored within 10 business days.
By creating an account or completing a purchase, you provide implied consent to receive transactional emails related to your orders. You may separately provide express consent to receive promotional communications. You may withdraw consent at any time by clicking the unsubscribe link in any email or by contacting us at hello@yourfloors.ca.
14. REWARDS PROGRAM
14.1 Program Overview
YourFloors.ca may offer a rewards, loyalty, or points program (the "Rewards Program") that allows eligible customers to earn and redeem points, credits, or other benefits in connection with qualifying purchases or activities on the Site. Participation in the Rewards Program is voluntary and subject to this Section and any additional program-specific terms communicated to you at enrollment or on the Site.
14.2 Modification and Termination
WE RESERVE THE RIGHT TO MODIFY, SUSPEND, LIMIT, OR TERMINATE THE REWARDS PROGRAM — IN WHOLE OR IN PART — AT ANY TIME AND FOR ANY REASON, WITH OR WITHOUT NOTICE. This includes, without limitation, the right to:
- Change the rate at which points or rewards are earned or redeemed
- Alter the value, expiry date, or redemption conditions of accumulated points or credits
- Add, remove, or modify qualifying products, purchase categories, or eligible activities
- Impose caps, blackout periods, or restrictions on earning or redemption
- Discontinue the Rewards Program entirely
Any points, credits, or rewards that have not been redeemed at the time of a material program change or termination may be forfeited without compensation, except where prohibited by applicable law. Rewards have no cash value and are not transferable, assignable, or redeemable for cash unless expressly stated otherwise.
14.3 No Vested Rights
Participation in the Rewards Program does not create a vested right, contractual entitlement, or property interest in accumulated points or benefits. Points and rewards are a discretionary benefit provided by YourFloors.ca and may be rescinded at any time. YourFloors.ca is not liable for any loss or damage arising from changes to or termination of the Rewards Program.
14.4 Abuse
We reserve the right to cancel, suspend, or void rewards earned through fraudulent activity, unauthorized manipulation, exploitation of errors or glitches, or any conduct inconsistent with the spirit of the Rewards Program. Accounts found to be abusing the Rewards Program may be suspended or permanently terminated.
15. PROHIBITED CONDUCT
You agree not to use the Site to:
- Violate any applicable federal, provincial, or municipal law or regulation
- Transmit any unsolicited commercial communications in violation of CASL
- Engage in fraudulent, deceptive, or misleading conduct, including placing fraudulent orders or submitting false chargebacks
- Harvest or collect email addresses or other personal information from the Site without authorization
- Introduce viruses, malware, or other harmful code to the Site
- Use automated bots, scrapers, or crawlers to access, index, or monitor the Site without our express written consent
- Infringe upon or violate the intellectual property rights of YourFloors.ca or any third party
- Harass, abuse, or harm any person in connection with your use of the Site
We reserve the right to terminate your access to the Site immediately and without notice for any violation of this Section and to report violations to appropriate law enforcement authorities.
16. THIRD-PARTY LINKS AND SERVICES
The Site may contain links to third-party websites, payment processors, or other services. These links are provided for your convenience only. YourFloors.ca has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party site. Accessing third-party sites is done at your own risk and subject to those sites' own terms of service.
17. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless YourFloors.ca and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site or Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) your negligence or willful misconduct.
18. GOVERNING LAW AND DISPUTE RESOLUTION
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Canada and the applicable laws of the province in which you reside, without regard to conflict of law principles. Nothing in these Terms affects your rights as a Consumer under the mandatory consumer protection laws of your province.
17.2 Dispute Resolution
In the event of a dispute, we encourage you to contact us at hello@yourfloors.ca to seek an informal resolution before commencing any formal proceedings. We will make good-faith efforts to resolve disputes amicably within 30 days of receiving written notice.
17.3 Court Proceedings
If a dispute cannot be resolved informally, either party may commence proceedings in a court of competent jurisdiction. For Consumer disputes, you may bring proceedings in the courts of your province of residence. For Business Customer disputes, the parties agree to submit to the exclusive jurisdiction of the courts of the province in which YourFloors.ca is registered, and both parties waive any objection to venue in those courts.
17.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT INDIVIDUALLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. This waiver does not apply where prohibited by mandatory consumer protection law.
19. FORCE MAJEURE
YourFloors.ca shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, war, terrorism, government actions, strikes, supply chain disruptions, carrier delays, or internet outages. We will make reasonable efforts to notify you of any such disruption and to resume performance as soon as practicable.
20. SEVERABILITY AND WAIVER
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
21. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Cookie Policy, Shipping Policy, and Refund Policy (each incorporated herein by reference and available on the Site), constitute the entire agreement between you and YourFloors.ca with respect to your use of the Site and supersede all prior understandings, representations, or agreements relating to the same subject matter. For Business Customers with a separate written agreement, that agreement supplements (and where inconsistent, supersedes) these Terms.
